eLearning Terms of Business “Terms”
Interpretation
In these Terms, the following definitions apply:
| B2B Customer | A business customer who is registered for UK/EU VAT and has supplied a valid UK/EU VAT number. |
| B2C Customer | A customer that is not registered for UK/EU VAT and has been charged VAT on the invoice. |
| Content | Means the content provided by Governance People Limited to the Licensee or Learner solely for use on the LMS. |
| Client | Means anyone who has purchased a course via this website and/or has the ability to assign Seats to a Learner. |
| Fees | Means the fees payable in respect of the licence(s) of the Content as set out on our website; |
| Learner | Means a person who has been assigned a Seat to a course and a username and password to login to the website. |
| Licence Agreement | Means the agreement between the Licensee and Governance People Limited for access to and use of the Content pursuant to the terms set out below, as amended from time to time. |
| LMS | Means Governance People Limited’s learning management system and website. |
| Non-Conformity | Means a failure of the elearning course Content to meet the requirements of the order form. |
| Permitted Purpose | Means for the personal use of the Licensee. |
| Seat | Means a course license assigned to a Learner by a Client. |
| Technical Failures | Means any bug, error, defect, incident or non-conformity of the elearning courses with its / their related documentation. |
| Force Majeure | Means any event or circumstance beyond Governance People Limited’s reasonable control, including but not limited to natural disasters, pandemics, epidemics, fires, floods, storms, earthquakes, explosions, wars, riots, civil unrest, acts of terrorism, government actions, national emergencies, power failures, interruptions to internet or communications infrastructure, cyber-attacks, and industrial disputes or strikes that prevent or delay Governance People Limited from performing its obligations under these Terms. |
Duration of Access to the e-learning Modules
The licence to use the e-learning courses accessible via the LMS is granted for a duration of 183 days (six months) from the date the Learner receives login credentials.
Course Extensions
You can purchase a 30-day extension through the website. The effective date will be based on the day that your course will expire.
If your course has already expired you can purchase a 30-day extension through the website. The effective date will be the date that the extension is granted to you. Extensions cannot be granted for courses that have expired by more than 60 days. In these circumstances, you will need to purchase a new license for the relevant course.
Once payment has been made your extension may take up to 2 business days to be granted.
Scope of Users
Save express particular terms to the contrary covering, inter alia, the case of affiliated companies within a group of companies, the licence to use the elearning courses is granted solely to the Client having executed the order form and paid the total amount of the invoice.
A Client can purchase a license for their personal use or purchase multiple licences in the form of Seats for allocation to Learners.
Personal Licence to Use (Clients and Learners)
The login and password to the LMS must be kept confidential and secure at all times, under the exclusive responsibility of the Client. They may therefore not be sold, redistributed, or shared.
The Client guarantees to Governance People Limited the compliance with this requirement by any Learner and shall be responsible for any fraudulent or abusive use of login details. The Client shall notify Governance People Limited immediately by email at support@governancepeople.com of any loss, theft, or suspected misuse of login details.
Governance People Limited reserves the right to suspend or discontinue service without prior notice or liability if fraudulent or abusive use of login details is detected or reasonably suspected.
License Details
Permission is granted exclusively for personal, non-commercial, transitory viewing of the course Content via the LMS. This is the grant of a license, not a transfer of ownership or title. Under this license, Clients and Learners must not:
Modify, copy, screenshot, record, or reproduce any part of the Content;
Use the Content for any commercial purpose or for public display (commercial or non-commercial);
Attempt to decompile, reverse engineer, or otherwise extract software or technical information contained on the LMS or associated website;
Remove or alter any copyright, trademark, or proprietary notices;
Transfer, share, redistribute, or mirror any Content to another person or host the Content on any other server or digital platform.
This license shall automatically terminate without notice if a Client or Learner violates any of these restrictions. Upon termination, the Client or Learner’s right to access and use the Content will immediately cease, and Governance People Limited reserves the right to pursue all available legal remedies for breach of these terms.
Course Content
Please see the description of the course for details of the Contents of the available courses.
Except as set out in the description of the course on this website, no additional course materials will be provided by Governance People Limited.
Cancellation Policy
The website provides immediate access to course Content upon successful payment. Please carefully review all course requirements and details prior to purchase.
Cancellation requests must be made either:
By email: Sent to orders@governancepeople.com within 48 hours of purchase; or
By telephone: +44 1624 777011, Monday to Friday, 9:00 a.m. to 5:00 p.m. (UK time), excluding Isle of Man public holidays, within 48 hours of purchase.
Cancellation requests received within the specified timeframes and prior to any access to the course Content will qualify for a refund, processed within 30 days to the original payment method.
Governance People Limited reserves the right to deduct an administration fee to cover any card processing or bank transaction fees incurred.
Due to the nature of digital products, no refunds will be granted once course Content has been accessed using the provided username and password. Governance People Limited reserves the right to verify Content access logs to determine eligibility for refunds.
Once payment has been made your extension may take up to 2 business days to be granted.
Non-conformity or technical failures of the LMS and/or elearning Courses
Governance People Limited does not guarantee uninterrupted or error-free operation of e-learning courses. Clients must provide detailed evidence of any reported defects by email to support@governancepeople.com within 7 calendar days of discovering the issue. Governance People Limited will use reasonable endeavours to address valid issues promptly.
Governance People Limited accepts no liability for technical problems or disruptions arising from:
Client hardware or software malfunctions, modifications, misuse, or incompatibility with system requirements.
Problems caused by third-party software, applications, or services not provided by Governance People Limited.
Any event classified as Force Majeure (as defined in these Terms).
System Requirements
It is the responsibility of the Client to check that the computer(s)/device(s) used to access the course Content is compatible with the minimum system requirements that relates to the course(s) ordered.
Data Protection
Governance People Limited will process the information it receives from you or otherwise holds about you in accordance with these Terms and its privacy policy. You consent to the use by Governance People Limited of such information in accordance with these Terms and our privacy policy. For more information, please refer to Governance People Limited’s privacy policy.
Marketing Rights
Governance People Limited prides itself on providing quality services to a growing list of clients. In support of our marketing programme, the Client grants Governance People Limited permission to use its logo in promotional and marketing materials, including the Governance People Limited website, unless the Client explicitly opts out at the time of purchase or by written notification sent to support@governancepeople.com.
User and Learner Support
Governance People Limited provides email support to Clients and Learners between 9:00 a.m. and 5:00 p.m. (UK time), Monday to Friday (excluding Isle of Man public holidays). Support queries should be sent by email to support@governancepeople.com, and responses will typically be provided within one business day.
B2B customers are entitled to support for technical issues only. B2C customers (VAT charged on invoice) receive both technical support and access to live tutor support relating to course Content queries.
Accuracy of Materials
The materials provided on the Governance People Limited website or as part of course Content may occasionally contain technical, typographical, or photographic errors. Governance People Limited does not guarantee the accuracy, completeness, or current relevance of these materials. Governance People Limited may update or modify course materials periodically without notice. However, Governance People Limited does not make any commitment to update the materials.
Intellectual Property Rights
All intellectual property rights in and to the course Content, LMS, and any related materials provided by Governance People Limited remain the exclusive property of Governance People Limited or its licensors. Participation in any course does not confer upon Clients or Learners any ownership, right, licence, or entitlement to copy, use, distribute, modify, or commercially exploit any part of Governance People Limited’s intellectual property beyond the limited personal licence explicitly granted by these Terms.
Disclaimer
The materials used on Governance People Limited’s website and course Content are provided on an ‘as is’ basis. Governance People Limited makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties, fitness for a particular purpose, or other violation of rights.
Further, Governance People Limited does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website, course Content or otherwise relating to such materials or on any sites linked to this site.
Limitations of Liability
To the fullest extent permitted by law, Governance People Limited shall not be liable for any indirect, consequential, incidental, or special damages (including but not limited to loss of data, loss of profit, or business interruption) arising from the use or inability to use the course Content, website, LMS, or related materials, even if Governance People Limited or its authorised representatives have been notified of the possibility of such damage.
In any event, Governance People Limited’s total liability to any Client or Learner under these Terms shall be limited to the total Fees paid by the Client in the preceding 12 months.
General
Governance People Limited may update or amend these Terms periodically to comply with legal requirements or reflect changing business needs. Notice of any significant changes will be communicated by email (where provided) or via prominent notice displayed on the Governance People Limited website. Continued use of the LMS or access to the course Content after such notification will constitute acceptance of the updated Terms.
These Terms constitute the entire agreement between Governance People Limited and the Client/Learner regarding the LMS and course Content, superseding all prior communications, representations, agreements, or understandings, whether oral or written.
No delay or failure by Governance People Limited to enforce any right or provision under these Terms shall be interpreted as a waiver of that right. Any waiver must be expressly stated in writing by Governance People Limited.
If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
Neither party may assign or subcontract its rights or obligations under these Terms without the prior written consent of the other, except Governance People Limited reserves the right to assign or subcontract to a third party as necessary.
Governing Law and Jurisdiction
These Terms and any disputes, claims, or proceedings arising out of or relating to them shall be governed by and interpreted according to the laws of the Isle of Man. The parties agree to attempt in good faith to resolve any disputes through negotiation and, if unsuccessful, through mediation before resorting to formal legal action.
Should mediation fail, each party irrevocably agrees to the exclusive jurisdiction of the Isle of Man courts to resolve any dispute arising from or related to these Terms.
Acceptance of these Terms
By accessing the website or any course Content, you are agreeing to be bound by these Terms, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these Terms, you are prohibited from using or accessing this site.
